Terms and conditions
imedia solutions inc. is a producer, publisher and supplier of media products and services.
When imedia solutions inc. is hired by an end user or client for the provision of products and/or services, this relationship will be governed by the Terms and Conditions outlined below.
1) Quotations
Quotation details may vary depending on the size and nature of the project. Standard quotation details are as follows:
a. Products: Quotations for the provision of products will be based on the estimated cost of all aspects of product production.
b. Services: Quotations for the provision of services will be based on either an estimated cost to fulfill a service obligation or an hourly rate. imedia solutions inc. hourly rates are as follows:
$107.50 per hour, or $800.00 per day (based on an 8-hour day).
Quotations will be in effect for 30 days from date of submission.
2) Payment Terms
Payment terms may vary depending on the size and the nature of the project. Standard payment terms are as follows:
a. Product and Service - Flat fee
50% of the total cost is to be paid upon acceptance by the client of the imedia solutions inc. estimate. 50% of the total cost is to be paid upon delivery of the final product. Invoicing will occur at each stipulated point in the proposal, to be paid within 30 days.
b. Services - Hourly rate
Invoices, detailing the total hours spent on a specific project will be submitted on a weekly basis, to be paid within 30 days.
c. Monthly Service Contract
Invoices, detailing the total hours spent on a specific project will be submitted on a weekly basis, to be paid within 30 days.
3) Expenses
When imedia solutions inc. is hired on a flat fee basis for the provision of products or service obligation, all anticipated expenses, such as meetings, travel and allowances, will be factored into the initial estimate submitted with the proposal.
When imedia solutions inc. is hired on an hourly basis, all expenses are billed in addition to the hourly rate as follows:
a. Transportation by car or airplane
b. Hotel accommodation required, all associated expenses, charged at cost
c. Images, animation, audio file purchased specifically for the project.
Costs for licensing royalty-free images range from $165. to $495. per image
d. Courier and delivery charges
e. Fonts. If specific fonts are required, they will be purchased
f. Colour prints and proofs
g. Materials required for production or proofing
Quotations will not include:
- Applicable taxes
- Any changes to the product after prototype/proof approval - these will be billed at $107.50 per hour.
4) Billing Procedures
imedia solutions inc. will bill the client directly. Any changes to the billing procedure must be agreed upon, in writing, by both the client and imedia solutions inc.
5) Coding, Technology, Product Development
When imedia solutions inc. is hired to provide a software product the client can choose from one of the following options regarding ownership of the sourcing code. In instances a. and b. the client will have access to the sourcing code. In instance c., imedia solutions inc. will be the only party with access to the sourcing code.
a. Client Purchases the Sourcing Code
If the client wishes to own the sourcing code they may purchase it from imedia solutions inc.. The client will then have the ability to make any changes and fully maintain the sourcing code independent of imedia solutions inc.. A documentation and training fee will be included in the purchase price. The documentation fee will cover the cost of detailing the sourcing code. The training fee will cover the cost of training designated personal to modify and maintain the sourcing code. The price for the purchase of the sourcing code will be set at the time of proposal.
b. Client Utilizes the Sourcing Code
If the client does not wish to purchase the sourcing code but wishes to have the ability to modify and maintain the code internally, they will be charged a documentation and training fee. The documentation fee will cover the cost of detailing the sourcing code. The training fee will cover the cost of training internal personal to modify and maintain the sourcing code. The fee will be established, on an hourly basis, at the time of proposal.
If the client chooses option b., the client must agree, in writing, to the sourcing code not being exposed to any external developer other than imedia solutions inc.. The sourcing code is to be exposed to client employees only.
c. Client Does Not Purchase or Utilize the Sourcing Code
If the client does not wish to purchase or utilize the sourcing code it will remain the property of imedia solutions inc.. In this case, imedia solutions inc. will be engaged on an hourly basis for any modification or maintenance of the sourcing code. imedia solutions inc. also reserves the right to remarket this sourcing code.
In each of the above instances, imedia solutions inc. reserves the right to use “freeware” code and will comply with all requirements regarding the copywriting of any “freeware” code utilized.
imedia solutions inc. retains original copyrights to works. Underlying works such as text, fonts, logos, charts and photographs may continue to be the property of the original copyright owner and therefore permission from such
copyright owners may be required in certain circumstances.
6) Print & Graphics Production Assumptions
FORMATS
Full colour CMYK, screen RGB or black and white.
ELECTRONIC ASSEMBLY
Proofs will be supplied as .pdf files.
FILE PREPARATION AND FORMATS
QuarkXpress 6.5 or InDesign CS file with high resolution images in position. Support files and fonts may be packaged and burned to CD, or uploaded to an ftp site.
Adobe Creative Studio, Photoshop, Acrobat and Deamweaver HTML
supported.
7) Acceptance of Terms and Conditions
Once the project has commenced there will be no changes to the agreed terms without the joint written approval of imedia solutions inc. and the client.
Written acceptance of any imedia solutions inc. Proposal represents an acceptance of the Terms and Conditions outlined above.
